Terms of Service
These Terms govern your access to and use of the Sury Protocol website, smart contracts, and related services. By using any of them, you accept these Terms. If you do not accept them, do not use the services.

1.Acceptance of these Terms
These Terms of Service (the “Terms”) are a binding legal agreement between you and Sury Protocol. By accessing or using the website at this domain, the related smart contracts, or any other service we provide (collectively, the “Services”), you agree that you have read, understood, and accepted these Terms in full.
If you are using the Services on behalf of a legal entity, you represent that you have authority to bind that entity, and “you” in these Terms refers to that entity.
We may modify these Terms from time to time. Material changes become effective when posted at this URL. You are responsible for reviewing the Terms periodically; continued use of the Services after changes are posted constitutes acceptance.
2.Description of the Services
Sury Protocol is a decentralised financial infrastructure that includes:
- An informational website describing the protocol, its architecture, and its tokenomics.
- A user interface that lets you interact with smart contracts deployed to one or more public blockchains (the “Smart Contracts”).
- Documentation, technical resources, and other materials made available through the website.
The Smart Contracts are autonomous software running on public blockchains. We may publish, update, or discontinue user-facing interfaces at any time, but the Smart Contracts themselves operate according to the code as deployed and may not be controllable by us once deployed.
We are not a financial institution. We do not provide brokerage services, investment advice, custody of assets, or any other regulated financial service. We do not have access to your wallet or your private keys. All transactions you initiate through the Services are settled directly on-chain by the Smart Contracts.
3.Eligibility
You may use the Services only if all of the following are true:
- You are at least the age of legal majority in your jurisdiction (in most cases, eighteen (18) years).
- You have the legal capacity to enter into a binding contract.
- You are not a resident of, or located in, any jurisdiction in which use of the Services would be unlawful.
- You are not subject to sanctions administered by OFAC, EU, UK, UN, or other applicable bodies, and you do not act on behalf of any sanctioned person or entity.
- You are not a citizen, resident, or located in any “Restricted Jurisdiction” that we have published from time to time.
We may, but are not obligated to, restrict access from particular jurisdictions or particular wallet addresses where we determine access is unlawful or carries unacceptable compliance risk.
4.Wallets and transactions
To use most of the Services you need to connect a self-custody blockchain wallet. The wallet is provided by you or by a third-party wallet provider; we do not custody it.
You are solely responsible for:
- Maintaining the confidentiality and security of your wallet, private keys, seed phrase, and any related credentials.
- All transactions you sign or authorise from your wallet, whether or not initiated through our user interface.
- The compatibility and configuration of any wallet, browser, or device you use to access the Services.
- Paying any network “gas” or transaction fees required to execute transactions on the underlying blockchain. These are paid to network validators and not to us.
Blockchain transactions are generally irreversible. We have no ability to reverse, cancel, or refund a transaction once it is broadcast and included in a block.
5.Prohibited conduct
You agree not to:
- Use the Services in violation of any applicable law, regulation, or court order.
- Use the Services to launder funds, finance terrorism, evade sanctions, or facilitate any other unlawful activity.
- Attempt to gain unauthorised access to the Smart Contracts, user interface, or any related infrastructure, including by probing, scanning, or testing for vulnerabilities other than under a published responsible-disclosure policy.
- Use any automated means (bots, scrapers, harvesters) to access the Services in a way that interferes with their normal operation, except where explicitly permitted by published API terms.
- Manipulate, distort, or seek unfair advantage in any market-making, settlement, or other mechanism of the protocol — including front-running, wash trading, or sybil attacks against referral programmes.
- Misrepresent yourself, your jurisdiction, or your eligibility to use the Services.
- Reverse-engineer, decompile, or attempt to derive the source of any non-open-source component of the Services.
We may suspend or terminate access to the user interface for any wallet address that we reasonably believe is engaged in conduct prohibited by this section. We have no ability to prevent any address from interacting directly with the Smart Contracts on the underlying blockchain.
6.Intellectual property
The website, its content (text, graphics, layout, brand marks), and the proprietary trading algorithms used by the protocol are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the website for its intended purpose.
Open-source components of the Services are licensed under their respective licences; nothing in these Terms restricts your rights under those licences.
You retain ownership of any content you submit through the Services (e.g. governance proposals, public messages on third-party channels we operate). By submitting content, you grant us a worldwide, royalty-free, non-exclusive licence to host, display, and reasonably use that content in connection with operating and promoting the Services.
7.Disclaimer of warranties
Without limiting the generality of the above, we do not warrant that:
- The Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
- The Smart Contracts are free from defects, vulnerabilities, or economic exploits — even if they have been audited.
- Any token, asset, or position accessible through the Services will retain any particular value, or any value at all.
- The yield generated by the protocol's strategies will continue at any historical rate, or at all.
- Any third-party service (wallet, RPC provider, oracle, bridge) integrated with the Services will operate correctly or continuously.
The Services are not, and should not be interpreted as, financial, legal, tax, or accounting advice. You are responsible for obtaining your own advice. Please also read the Risk Disclosure for a fuller description of the specific risks.
8.Limitation of liability
To the maximum extent permitted by applicable law, in no event shall Sury Protocol, its affiliates, or any of their respective directors, officers, employees, or agents be liable for any:
- Indirect, incidental, special, consequential, exemplary, or punitive damages.
- Loss of profits, revenue, business opportunity, goodwill, data, tokens, or other digital assets.
- Damages resulting from blockchain congestion, gas-price volatility, oracle failure, validator misbehaviour, smart- contract exploits, or any other event affecting an underlying blockchain.
- Damages resulting from your loss of access to your wallet or private keys, or from unauthorised use of your wallet by a third party.
Where applicable law does not permit the exclusion of certain warranties or the limitation of liability, our aggregate liability to you for all claims arising out of or relating to the Services shall be limited to USD 100 (one hundred United States dollars) in the aggregate.
9.Indemnity
You agree to indemnify and hold harmless Sury Protocol, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services.
- Your breach of these Terms.
- Your violation of any law or the rights of any third party.
- Your negligence or wilful misconduct in connection with the Services.
10.Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict-of-laws principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by [Arbitral Institution] in accordance with its rules in force at the time, with the seat of arbitration in [Seat] and proceedings conducted in English. Each party waives any right to participate in a class action or class arbitration.
Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.
11.Termination
We may suspend or terminate your access to the user interface portions of the Services at any time, with or without notice, for any reason — including breach of these Terms. We have no ability to terminate your relationship with the Smart Contracts on the underlying blockchain.
Sections that by their nature should survive termination (including disclaimers, limitations of liability, indemnity, and dispute resolution) survive termination.
12.General provisions
These Terms (together with any documents incorporated by reference, including the Privacy Policy, Cookie Policy, and Risk Disclosure) constitute the entire agreement between you and us relating to the Services and supersede any prior agreements.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
Our failure to enforce any right or provision is not a waiver of that right or provision.
You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. We may assign these Terms freely, including in connection with any corporate transaction.
